Welcome to Learnly! These Terms of Use ("Terms") govern your access to and use of the Learnly e-learning platform, including our website, services, and AI-powered tutors (collectively, the "Service"). These Terms are a binding legal agreement between you and Learnly ("we," "us," or "our").
1. Acceptance of Terms
By creating an account or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
2. User Accounts
To access most features of the Service, you must register for an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Promptly notify us if you discover or otherwise suspect any security breaches related to the Service.
Not share your account credentials with any other person. You are responsible for all activities that occur under your account.
3. Intellectual Property Rights
A) Educator Content: You, as an educator or institution, retain full ownership of and all intellectual property rights to the course content you create, upload, or post to the Service ("Educator Content").
B) License to Learnly: To allow us to provide the Service, you grant Learnly a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and modify (for formatting purposes) your Educator Content. Crucially, you also grant us the right to process such content using our artificial intelligence systems for the sole purpose of providing the tutoring, analytics, and other AI-powered features of the Service to you and your enrolled students. This license terminates when you delete your content or your account.
C) Learnly's Intellectual Property: The Service itself, including all underlying software, technology, and any content, data, reports, or materials generated by our AI systems (such as analytics reports or AI-generated quizzes), are and will remain the exclusive property of Learnly.
4. User Conduct
You agree not to do any of the following:
Upload or share any content that is unlawful, defamatory, harassing, abusive, fraudulent, or obscene.
Upload or share any content that infringes upon the copyright, trademark, or other intellectual property rights of any third party.
Use the Service for any illegal purpose or in violation of any local, provincial, national, or international law.
Attempt to gain unauthorized access to our systems, or engage in any activity that disrupts, diminishes the quality of, or interferes with the performance of the Service.
Upload any viruses, malware, or other malicious code.
5. Payments, Subscriptions, and Refunds
Fees: Access to certain features of the Service will require the payment of fees, typically on a per-student basis, billed monthly or annually as agreed upon.
Billing: You agree to provide us with valid and updated payment information. You authorize us to charge such payment method for all services you purchase.
Price Changes: We reserve the right to change our prices at any time. We will provide you with at least 30 days' notice of any price changes before they become effective.
Refunds: All fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused services.
6. Termination
We may, in our sole discretion, suspend or terminate your account and access to the Service immediately and without prior notice if you breach these Terms. You may delete your account at any time. Upon termination, we will make reasonable efforts to delete your Educator Content and associated data in a timely manner, as described in our Privacy Policy.
7. Disclaimers and Limitation of Liability
"As-Is" Service: The Service is provided "as is" and "as available" without any warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or free from errors.
Educator Responsibility: You are solely responsible for your Educator Content, including its legality, accuracy, quality, and appropriateness. Learnly does not endorse and is not responsible for any Educator Content.
Limitation of Liability: To the fullest extent permitted by law, in no event will Learnly be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
9. Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will provide you with notice, such as by sending an email or posting a notice on our Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
